iCyagen Website User Agreement
Welcome to the
iCyagen website service (the “Service”). Before using the Service, please carefully read and agree to all terms of this User Agreement (this “Agreement”). This Agreement is formulated by Cyagen (Suzhou) Biosciences Co., Ltd., together with its affiliates and partner institutions (collectively, “we,” “us,” or “our”), and we are responsible for operating the Service. The Service is available to users worldwide, but the formation, interpretation, and performance of this Agreement and the Service are governed by the laws of the People’s Republic of China. Minors shall read this Agreement under the accompaniment of their legal guardians and use the Service only after obtaining consent. By clicking to agree or by actually using the Service, you acknowledge that you have read, understood, and agreed to all contents of this Agreement.
Service Content
We provide research data analysis services through a web-based platform. You may upload various types of research data on the website, including but not limited to gene sequence data, amino acid sequence data, clinical case information, biological sample information, scientific research records, and similar data, and obtain corresponding analysis results and reports. The Service is provided only in web-based form. We do not provide mobile apps, applications, or any form of developer interface (API), nor do we make available any SDK or source code for the Service.
The Service does not provide APIs or other interfaces to third parties. All functions are provided through the website front end. If new service functions are added, they will first be launched on this website and explained on the function page or through announcements.
We will adopt security measures that meet industry standards to protect the network and data security of the platform. If you encounter any issues or need assistance while using the Service, you may contact us through the methods set out in Section 8 of this Agreement.
Account Registration and Management
Registration and login: You must register an account using an email address or mobile phone number and set a login password. During registration, you must provide true, accurate, lawful, and valid information and agree to this Agreement and relevant rules. Your account is the sole credential for your use of the Service and may not be transferred, gifted, or inherited. If the registration information provided is untrue or unlawful, we have the right to suspend or restrict your use of the account.
Protection of minors: The Service is mainly intended for researchers with full capacity for civil conduct. Users under the age of 18 shall use the Service under the accompaniment and with the consent of their legal guardians. We will comply with the special protection requirements for minors under laws and regulations, and guardians are requested to guide and supervise minors’ use of the Service. If we discover that a minor is using the Service without guardian consent, we have the right to suspend use of the relevant account.
Account security: You shall properly safeguard your account and password and shall be responsible for all activities conducted under your account. You may not lend or transfer your account to others, nor may you maliciously register repeated accounts. If you discover unauthorized use of your account, you shall notify us immediately, and we will cooperate with you in taking measures. If you forget your password or verification information, you may follow the page prompts to appeal for or recover your account, and you shall bear the risks arising therefrom.
Account cancellation: If you apply to cancel your account, after review and approval, we will cancel your registered user account. After your account is canceled, we still have the right to retain your registration information and historical usage records as required by laws and regulations, and we reserve the right to pursue liability for violations that occurred before cancellation.
User Conduct Rules
When using the Service, you shall comply with national laws and regulations and this Agreement, and may not use the Service to engage in any unlawful or non-compliant activities or activities that infringe the lawful rights and interests of others. Such unlawful or non-compliant activities include but are not limited to malicious competition in violation of anti-unfair competition laws of various countries and using the platform to conduct online fraud. Activities that infringe the lawful rights and interests of others include but are not limited to infringing others’ intellectual property rights, privacy rights, reputation rights, and similar rights. You shall use the Service lawfully and in good faith, and shall not use the platform to seek improper benefits or disrupt internet order. Seeking improper benefits refers to obtaining economic benefits or other improper advantages through fraud, false transactions, malicious traffic inflation, or similar means. Disrupting internet order refers to acts such as maliciously attacking platform servers or spreading malware that affect the normal operation of the platform or other users’ normal use of the Service. Information or content that you submit through this website shall be true, lawful, and valid, and we have the right to delete violating content or take other handling measures.
Prohibited acts: You may not upload, publish, or disseminate through the Service any information that is unlawful, non-compliant, untrue, infringing, or contrary to public order and social morality, including but not limited to:
content that opposes the basic principles of the Constitution;
content that endangers national security, leaks state secrets, subverts state power, or undermines national unity;
content that harms national honor and interests;
content that insults or defames others or infringes others’ reputation, portrait, privacy, or other lawful rights and interests;
content that promotes terrorism, extremism, ethnic hatred, or ethnic discrimination;
sensitive personal information that violates laws and regulations on medical and health information confidentiality and privacy protection, such as unauthorized private case data.
We have the right to review and intercept the above acts. If we discover that a user uploads or disseminates such content, we have the right to immediately take measures such as deleting content, closing the account, and pursuing legal liability. The user shall bear all consequences of any unlawful or non-compliant acts. If losses are caused to us or any third party as a result, the user shall be liable for compensation.
Data Inputs and Outputs
Input responsibility: You are responsible for all data uploaded to the Service (“Input”) and its legality. You represent and warrant that all research data and information you upload has obtained the necessary authorizations and rights and does not infringe any third party’s intellectual property rights, trade secrets, or other lawful rights and interests. All Input you upload must comply with laws and regulations and must not contain unlawful content or information that may endanger national security or the public interest.
Output rights: The analysis results and reports we provide (“Output”) and related rights belong to you. The data you input into the Service and the analysis results we generate, including but not limited to reports, charts, and conclusions, fall within the scope of rights you enjoy. You may use such Output for personal use, academic research, paper publication, or other lawful purposes. Unless otherwise provided by law or separately agreed in this Agreement, we do not claim ownership or revenue rights in the Input data and Output results you provide.
Data use: To improve service quality and provide necessary technical support, after secure encryption and strict de-identification, we may use the Input and Output data you upload for statistical analysis, model optimization, service improvement, or troubleshooting. Such processing will comply with relevant laws and regulations and will not disclose your identity information or individual sensitive information. If you have questions or objections regarding data use, you may provide feedback to us through the contact information in Section 9 of the Privacy Policy.
Disclaimer: The analysis results provided by the Service are automatically generated by platform algorithms and may contain certain errors or imperfections. They are for reference only. You should verify the results in combination with your own professional judgment and should not use them as the sole basis for final decisions. If you take action based on the Output of the Service, the risks and consequences arising therefrom shall be borne by you. To the maximum extent permitted by law, except where caused by our intentional misconduct or gross negligence, we are not liable for any direct, indirect, incidental, or consequential losses arising from your use of or inability to use the Service.
Intellectual Property
We own all rights in the software, platform interface, website content, databases, trademarks, and other elements used in the Service, including but not limited to copyrights, trademark rights, patent rights, and similar rights. Without our written permission, no user may copy, use, or authorize others to use the above rights. We will adopt technical measures, such as digital watermarking and encryption technologies, to protect our intellectual property and prevent unauthorized use.
The intellectual property rights in the data uploaded by users and the Output results, such as reports and charts, belong to the users. However, users agree to grant us a license to use such data within the scope agreed in this Agreement for the purpose of providing the Service. We will use technologies such as blockchain during data storage and transmission to protect users’ intellectual property rights and ensure data integrity and traceability.
Without our written permission, users may not use the words, marks, domain names, or other company identifiers of “Cyagen Biosciences,” “Cyagen,” or similar identifiers in any manner, and may not display or register any trademarks or domain names containing the above identifiers in any manner. If we discover a user’s unauthorized use, we will issue a warning notice within a reasonable period, but no later than five business days, requiring the user to make corrections within a specified period. If the user fails to make corrections within the specified period, we will take legal measures to pursue liability.
Rules for Use of AI-Related Business Functions
When the iCyagen products or services we provide to you involve AI-related content, you understand and acknowledge that the generative artificial intelligence services and other related products or services we provide rely on generative artificial intelligence models and may also rely on other models or services. You agree to use the generative artificial intelligence services we provide in accordance with law and based on the scientific and rational understanding we provide.
Specifically, with respect to the generative artificial intelligence services we provide to you, you agree that:
Content generated by iCyagen products or services is for your reference only. You agree not to treat the output as professional advice, a basis for business decisions, or any other unverified purpose, including but not limited to the following:
Where major scenarios or purposes such as production, research and development, or investment are involved, iCyagen recommends that you consult professionals. You acknowledge and agree that you will not use the output of the product or service as the basis for your next action, and that any judgment made based on the output, or any subsequent related operation taken based on such judgment, and the consequences and liabilities arising therefrom, shall be borne by you.
If you use the AI search function module involved in iCyagen products or services, the output of iCyagen products or services will involve searches of publicly available third-party online information. The output may be inaccurate and does not represent iCyagen’s endorsement of or agreement with any position or view expressed by a third party, nor does it constitute any endorsement of the authenticity, accuracy, or legality of publicly available third-party online information.
You agree and confirm that the information you input shall comply with laws and administrative regulations, observe public order, respect social morality and ethics, socialist core values, national interests, and the lawful rights and interests of others, and ensure the authenticity of the information. Otherwise, we have the right to take relevant measures in accordance with law. We temporarily store the original content you input and the processing results only as technically necessary to provide the Service. Unless otherwise stated, such text will not be further shared or used. In addition, the content you input will not be used by iCyagen to train the AI models involved in providing the Service.
For output content generated by your use of AI functions in iCyagen products or services, we will label the output content in accordance with current laws and regulations. Our labeling rules are as follows:
For text content generated through AI-related services provided by iCyagen, in order to prevent confusion and misidentification and to eliminate or reduce the potential impact of inaccurate generated or synthetic information, we will add prominent textual notice labels at the bottom of the AI function interaction interface or in other reasonable locations to remind you that the relevant content is AI-generated and for reference only. You may not maliciously delete, alter, forge, or conceal such generated or synthetic labels, including prominent visible explicit labels on generated or synthetic content and, where applicable, implicit labels embedded in metadata of generated or synthetic content through specific technical means.
In addition, iCyagen may, in accordance with laws and regulations and in light of the specific output forms of iCyagen’s AI-related services, adjust the content, format, and other aspects of AI-generated or synthetic content labels from time to time so that the relevant labels meet the latest applicable labeling requirements for AI-generated or synthetic content.
Personal Information Protection and Data Use
We will strictly collect, use, and protect your personal information in accordance with the Personal Information Protection Law of the People’s Republic of China, the Data Security Law of the People’s Republic of China, and other laws and regulations. When you register for and use the Service, we will collect necessary information such as your email address or mobile phone number, only for purposes such as account login, identity verification, notifying you of service changes, or providing technical support.
If research data uploaded or generated by you in the Service contains personal information or sensitive information, we will adopt reasonable technical and management measures to protect it. Unless we obtain your consent or laws and regulations provide otherwise, we will not provide your personal information or user data to any third party.
We undertake that, to the extent permitted by law, we will not use your personal information for purposes not expressly stated in this Agreement. You may view, update, or delete your registration information by logging in to your account. If you need to exercise other rights, please contact us through the methods provided in Section 8 of this Agreement.
If the Service involves the use of cookies or other technologies, we will provide corresponding explanations and ensure that such technologies are used in compliance with legal requirements.
Limitation of Liability and Disclaimers
Handling of user violations: If you violate this Agreement or engage in unlawful activities, we have the right to make independent judgments and may take measures such as issuing warnings, restricting functions, suspending use, deleting relevant content, or closing the account. We have the right to publish the handling results and decide, depending on the circumstances, whether to restore your usage permissions. For suspected unlawful acts, we will preserve relevant records and cooperate with judicial authorities in investigations. You shall bear full responsibility for and indemnify us against all losses, including but not limited to attorneys’ fees, investigation fees, and other expenses, arising from any losses or claims caused by your violation of this Agreement or laws.
Disclaimer regarding service status: The Service is provided as available under existing technical conditions. Although we will use our best efforts to keep the Service stable and available, we make no warranty regarding the following: the Service may be interrupted, delayed, erroneous, or unavailable; defects may not be repaired in a timely manner due to technical reasons; and the correctness, completeness, and timeliness of analysis results cannot be fully guaranteed. You understand and accept that the Service is only an auxiliary tool. We are not responsible for service issues caused by a user’s violation of the Agreement, the user’s own operational errors, or third-party reasons, nor are we liable for any indirect losses or special losses arising therefrom. The scope of indirect losses and special losses includes losses of business opportunities, production profits, or other foreseeable future available profits caused by service interruption.
Force majeure and other exemptions: We are not liable for service interruption, data loss, information leakage, or similar events caused by natural disasters, war, government actions, hacker attacks, telecommunications failures, epidemics, or other force majeure or unforeseeable circumstances.
Third-party links and content: The Service may contain content or links provided by third parties. We are not responsible for their authenticity, legality, or availability, and you use them at your own risk. If you obtain any information, products, or services through a third party, you shall bear the risks yourself.
Governing Law and Dispute Resolution
The formation, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People’s Republic of China. If any dispute arises between the parties during the performance of this Agreement, the parties shall first resolve it through friendly negotiation. If negotiation fails, either party may file a lawsuit with the court having jurisdiction over our domicile within the territory of the People’s Republic of China.
The above terms constitute the entire contents of this Agreement, take effect from the date on which the user clicks to agree or begins using the Service, and are legally binding on both parties. Matters not covered herein shall be handled in accordance with relevant national laws and regulations and other rules published by us.
